AI Units Purchase and Use Agreement

Effective Date: April 20, 2026

This document forms an integral part of the Platform Terms and Conditions and governs the purchase, use, and management of AI Units (hereinafter: “AI Units”; “Ai Units” in the Platform) on the Ai Degree platform (hereinafter: the “Platform”). This Policy is incorporated into, and subject to, the Platform Terms and Conditions. Any dispute relating to the purchase, crediting, redemption, refundability, expiration, forfeiture, reversal, or use of AI Units shall be governed by the dispute resolution, arbitration, governing law, and limitation-of-liability provisions set forth in the Platform Terms and Conditions.

1. What Are AI Units

1.1. AI Units are virtual, non-monetary credits offered by the Platform and used exclusively to book and access educational sessions and related services made available through the Platform. AI Units do not constitute legal tender, electronic money, securities, or financial instruments of any kind.

1.2. AI Units are personal to the Student, non-transferable, non-assignable, and may not be sold, traded, or exchanged outside the Platform.

1.3. AI Units are offered based on a conversion rate determined by the Platform, see Section 3.

2. Purchase of AI Units

2.1. Students may purchase AI Units in predefined packages through the Platform using approved payment methods. Upon successful purchase, the corresponding number of AI Units will be credited to the Student’s account in the Platform.

2.2. AI Units are credited for Platform use only and do not grant ownership of any educational content or guarantee availability of specific Teachers or sessions.

2.3. Prices displayed on the Platform do not necessarily include applicable taxes.

2.4. Taxes such as value added tax (VAT), sales tax, or similar indirect taxes may apply to the purchase of AI Units, depending on the applicable law and the Student’s location, and shall be added where required.

2.5. Any crediting of AI Units is provisional until the associated payment has been successfully authorized, captured, and finally settled. If a payment is declined, reversed, refunded, charged back, or otherwise not finally settled, the Global Glass LLC (hereinafter: the “Company”) may cancel the relevant purchase, deduct the corresponding AI Units from the Student’s balance, suspend or cancel pending bookings, and recover any outstanding amounts, fees, or costs to the fullest extent permitted by law.

3. Conversion Rates

3.1. AI Units are allocated based on a conversion rate determined by the Company and displayed to the Student at the time of purchase. As of the date of publication of this Policy, one (1) U.S. dollar is equivalent to five (5) AI Units as stated above.

3.2. The Company reserves the right to modify the applicable conversion rate from time to time, at its sole discretion. Such modification in the conversion rate shall not apply retroactively to completed transactions but may affect the effective value and/or quantity of AI Units available in the Student’s account going forward. Any updated conversion rate shall be presented to the Student at the time of purchase or prior to completing a transaction.

3.3. For the avoidance of doubt:

4. No Direct Purchase of Lessons

4.1. Educational sessions on the Platform may not be purchased directly. All bookings and access to sessions are conducted exclusively through AI Units.

4.2. The use of AI Units does not create any prepaid entitlement to a specific session, Teacher, or schedule.

5. Cancellations and Credits

5.1. Student Cancellations or No Show

5.1.1. If a Student cancels a session in accordance with the cancellation window displayed on the Platform (24 hours prior to the scheduled lesson), the applicable AI Units may be credited back to the Student’s account as Platform credit only, and not as a monetary refund, except where a refund is expressly required by applicable law.

5.1.2. Late cancellations may result in partial or full forfeiture of the AI Units used for the booking, regardless of the reason for cancellation, including illness or Force Majeure.

5.1.3. Student “No Show” to Lesson – If the Student has not logged in to the booked lesson within 15 minutes of the booking time, the Teacher shall have the right to cancel the lesson and fully charge the AI Units for the lesson. No full or partial refund shall be issued for the Student.

5.1.4. In the event of a Student “No Show”, the Teacher has the right to report the session via the "Report a Problem" button (available for 24 hours post-session). Following a review, the Teacher may be fully paid for the lesson.

5.2. Teacher Cancellations or No Show

5.2.1. If a Teacher cancels a session, the Student shall receive a credit of the applicable AI Units back to the Student’s account. Such credit shall constitute restoration of Platform credit and not a cash refund, except where applicable law requires otherwise.

5.2.2. In the event of a material Platform-side technical failure that prevents a booked session from being reasonably delivered, the Company may, in its discretion, either reschedule the session or restore the applicable AI Units to the Student’s account.

5.2.3. Teacher “No Show” to Lesson – If the Teacher has not logged in to the booked lesson within 15 minutes of the booking time, the Student shall have the right to cancel the lesson and receive a full refund of AI Units for the lesson. The teacher rating in the Platform may also be affected as a result.

5.2.4. If a Teacher joins the session within the 15-minute waiting window, the Teacher is required to compensate for the lost time by extending the session accordingly.

5.2.5. If the Teacher fails to make up for the lost time, the Student has the right to report the session via the "Report a Problem" button (available for 24 hours post-session). Following a review, the Student may be eligible for a refund based on the actual duration of the instruction provided.

6. Refunds; Payment Disputes; Chargebacks

6.1. Except as expressly stated in this Policy, on the Platform, or as required by applicable law, all purchases of AI Units are final and non-refundable.

6.2. No refund shall be available for AI Units that have been used, redeemed, partially consumed, allocated to a booking, forfeited pursuant to this Policy to the extent permitted by law, or affected by account suspension for cause.

6.3. Where a refund is expressly required by applicable law, any such refund shall be limited to the original purchase price actually paid for the unused Purchased AI Units that are legally eligible for refund, and shall not include Promotional AI Units or reflect any subsequent changes in pricing, package value, or session costs.

6.4. Before initiating a chargeback or payment dispute, the Student agrees to first contact the Company and use the Platform’s internal support or refund-review process.

6.5. Nothing in this Policy limits any non-waivable rights a Student may have under applicable law. If a Student initiates a chargeback, reversal, or payment dispute for a purchase that the Company reasonably determines was validly authorized and not otherwise refundable under this Policy, the Company may suspend or terminate the Student’s account, freeze or reverse related AI Units, cancel pending bookings, deny future purchases, and recover chargeback fees, processing costs, collection expenses, and any outstanding amounts owed, to the fullest extent permitted by law. The Company may respond to any payment dispute using relevant records, including account acceptance logs, purchase confirmations, booking records, attendance records, session metadata, communications, and service-delivery confirmations.

7. Account Closure; Inactivity; Remaining Balance

If a Student requests deletion or closure of their account, unused promotional AI Units shall be automatically forfeited upon such deletion or closure. The treatment of any unused Purchased AI Units upon account closure shall be subject to this Policy, the disclosures made at the time of purchase, and applicable law.

8. Tax Treatment and Fixed Redemption Value

8.1. AI Units are designed and operated as a closed-loop virtual credit system.

8.2. For tax and regulatory purposes:

9. Platform Discretion and Abuse Prevention

9.1. The Company may suspend, limit, freeze, deduct, reverse, cancel, or invalidate AI Units, and may suspend bookings or restrict access to the Platform, where it reasonably suspects fraud, payment reversal, unauthorized card use, abusive refund behavior, multiple-account abuse, unauthorized resale or transfer attempts, promotional abuse, circumvention of the Platform, or other violations of the Platform Terms and Conditions.

9.2. The Company may correct technical, accounting, pricing, or balance errors and may reverse AI Units credited in error, duplicated through system malfunction, or linked to a failed, reversed, refunded, or disputed payment.

9.3. To the fullest extent permitted by law, the Company may set off outstanding amounts owed by the Student against AI Units, credits, refunds, or other amounts otherwise due in connection with the Student’s account.

10. Amendments

The Company may update this Policy from time to time. Material changes will be communicated as required by applicable law. Any material change affecting the price, refundability, expiration, or fees applicable to already purchased AI Units shall apply prospectively only and shall not retroactively reduce or impair Purchased AI Units already credited to a Student’s account, except where such change is required by law, reasonably necessary to prevent fraud or abuse, or expressly accepted by the Student.
